Welcome to WhiteAura Boulevard LTD. These Terms and Conditions govern your use of our services, including our FreshStay linen experience for hotels and other related business activities. By engaging with WhiteAura Boulevard LTD, you agree to comply with the terms outlined below.

1. Definitions

  • “WhiteAura” / “Company” refers to WhiteAura Boulevard LTD, its affiliates, subsidiaries, and authorized representatives.
  • “Hotel” / “Partner” refers to any hotel or accommodation provider that collaborates with WhiteAura to offer FreshStay services.
  • “Guest” refers to any individual staying at a hotel that offers FreshStay services.
  • “FreshStay” refers to WhiteAura’s premium linen upgrade service, which provides hotels with brand-new linens for guest use.
  • “Service” refers to the supply, management, and promotion of the FreshStay product by WhiteAura.

2. Scope of Services

WhiteAura provides hotels with brand-new premium linens and towels at no upfront cost, which hotels can offer to guests as a paid upgrade. The service is governed by the following:

  • WhiteAura owns and supplies the linens and manages restocking.
  • Hotels integrate FreshStay into their booking process and check-in options.
  • Hotels receive a commission-based revenue share from each FreshStay upgrade purchased by a guest.
  • Guests may keep the linens after their stay or leave them behind at the hotel.
  • WhiteAura manages logistics, inventory, and replacements based on demand.

3. Partnership Agreement with Hotels

Hotels that sign up for FreshStay agree to:

  • Offer the FreshStay upgrade to guests as an optional paid service.
  • Use marketing materials provided by WhiteAura to promote FreshStay.
  • Adhere to the commission structure agreed upon in the signed partnership agreement.
  • Ensure proper storage and handling of WhiteAura linens (unused stock).
  • Provide sales data and guest feedback to help optimize performance.

WhiteAura reserves the right to terminate a hotel partnership if the hotel:

  • Misrepresents the FreshStay product.
  • Fails to comply with the agreed pricing structure.
  • Violates ethical business practices or engages in fraudulent activity.

4. Guest Terms & Conditions

Guests who opt for FreshStay agree that:

  • The FreshStay upgrade is non-refundable once accepted.
  • FreshStay linens are brand-new and single-use, ensuring hygiene and luxury.
  • If they choose to leave the linens behind, the hotel will return them to WhiteAura for proper disposal or donation.
  • Any intentional damage or misuse of the linens may result in additional charges.

5. Pricing, Payment, and Commission Structure

  • FreshStay pricing is pre-determined and may vary by hotel location and category.
  • Guests pay for the FreshStay upgrade at check-in or booking.
  • WhiteAura pays hotels a commission on each sale, as per the agreement.
  • Payments to hotels are made monthly based on total sales.
  • Hotels must report FreshStay sales data accurately to receive commissions.

6. Intellectual Property & Branding

  • WhiteAura retains full ownership of the FreshStay brand, trademarks, and marketing materials.
  • Hotels cannot modify or rebrand FreshStay without prior written approval.
  • All marketing materials (flyers, posters, digital content) must be used as provided by WhiteAura.

7. Limitation of Liability

WhiteAura is not responsible for:

  • Any guest dissatisfaction arising from the use of FreshStay linens.
  • Loss or theft of FreshStay linens after they have been delivered to the hotel.
  • Hotel operational failures that impact FreshStay sales.
  • Force majeure events (e.g., natural disasters, pandemics, government restrictions) that disrupt supply or operations.

8. Termination of Agreement

  • Either party (WhiteAura or Hotel) may terminate this agreement with 30 days' written notice.
  • WhiteAura reserves the right to terminate partnerships immediately if a hotel violates the terms of the agreement.
  • In case of termination, the hotel must:
    • Return all unused FreshStay linens to WhiteAura.
    • Settle any pending commissions owed.

9. Dispute Resolution

  • Any disputes shall first be resolved through negotiation and mediation.
  • If unresolved, disputes will be settled under the laws of Nigeria (for Nigerian hotels) or the relevant jurisdiction for international partners.

10. Amendments & Updates

WhiteAura may update these Terms and Conditions from time to time. Partners will be notified of significant changes, and continued use of the service implies acceptance of the new terms.
